MCX Technologies (TSX.V: MCX) today announced that it intends to complete a non-brokered private placement offering to raise gross proceeds up to US$2.5 million. According to the update, the offering will consist of issuing up to 20,000,000 common shares of the company, each at a price of US$0.10. MCX plans to use the proceeds for general working capital as the company transitions into developing Web 3.0 technologies and applications. Common shares issued under the offering are subject to customary hold periods and have not been and will not be registered under the United States Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. Accordingly, the common shares will be offered and sold in the United States only to accredited investors and outside of the U.S. to non-U.S. persons in compliance with Regulation S.
